These Terms of Service ("Agreement") govern access to and use of Gym Managers Pro (the "Service"), a cloud-based gym management platform that includes member management, class scheduling, point-of-sale, membership billing, check-in, and reporting features. By creating an account or using the Service, you ("Subscriber") agree to be bound by this Agreement.
Gym Managers Pro agrees to provide the Subscriber with access to the Service during the subscription term. The Service includes the features and functions described on our website and may be updated or improved over time. We reserve the right to modify, add, or remove features with reasonable notice.
This Agreement begins on the date the Subscriber creates an account ("Effective Date"). New accounts begin with a 14-day free trial requiring no credit card. After the trial period, continued access to the Service requires an active paid subscription.
Subscriptions are billed on a monthly basis and renew automatically each month until canceled in accordance with Section 10 below.
Subscription fees are billed monthly according to the plan selected by the Subscriber. Current plan pricing is as follows:

All fees are billed in U.S. dollars and processed securely through Stripe. By providing a payment method, you authorize us to charge your payment method on a recurring monthly basis. Fees are non-refundable except as required by applicable law or as expressly stated in this Agreement.
We reserve the right to adjust pricing with at least 30 days' written notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
As a Subscriber, you agree to:
The Service may send text messages to gym members and staff for transactional purposes (such as purchase receipts, verification codes, and check-in confirmations). Marketing text messages are sent only to contacts who have separately opted in.
The Service provides tools for gyms to collect digital signatures on trial waivers and membership contracts. The text of those documents is written and provided by the individual gym. Gym Managers Pro does not write, review, approve, or guarantee the legal sufficiency of any gym's waiver or contract. Each Subscriber is solely responsible for the content of agreements they present to their own members and for compliance with applicable laws governing such agreements.
You agree not to:
Gym Managers Pro retains all right, title, and interest in and to the Service, including all software, designs, and documentation. This Agreement grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the subscription term. All rights not expressly granted are reserved.
You retain ownership of all data you input into the Service ("Subscriber Data"). You grant us a limited license to use Subscriber Data solely to operate and provide the Service. We will not sell, rent, or share your Subscriber Data with third parties except as required to operate the Service or as required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GYM MANAGERS PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Either party may terminate this Agreement with 30 days' written notice. You may cancel your subscription at any time through your account settings; your access will continue through the end of the current billing period, after which it will not renew.
We may suspend or terminate your access to the Service immediately and without prior notice if you:
Upon termination, your right to access the Service ceases. You may request an export of your Subscriber Data within 30 days of termination; after that period, we may delete it in accordance with our data-retention practices.
We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.
This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Massachusetts.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
